1. Agreement to these Terms
These Terms and Conditions ("Terms") are a legal agreement between you and EasiDine ("EasiDine", "we", "us", or "our") governing your access to and use of the EasiDine website, applications, and related services (the "Services").
By creating an account, accessing the Services, or (for guests) using table ordering at a venue that uses EasiDine, you agree to these Terms. If you do not agree, do not use the Services.
Our Privacy Policy explains how we handle personal information. It forms part of your relationship with us and is available on our website.
2. Definitions
In these Terms:
- "Venue" — a business (such as a restaurant, bar, or hotel) that uses EasiDine to offer digital ordering and payments.
- "Venue user" — a person who registers or is invited to manage a Venue account (owner, administrator, or staff).
- "Guest" — a customer who scans a table code to order or pay without registering for an EasiDine customer account.
- "Customer account" — an optional EasiDine profile created by signing in with Google, used to access order, payment, and visit history across participating Venues.
- "Order" — a request for food, drinks, or other items placed through the Services.
- "Payment partner" — the third-party payment company we use to process card, bank transfer, and other payments (currently Paystack).
3. What EasiDine provides
EasiDine provides software that allows Venues to display a digital menu, receive Orders from Guests, manage operations in real time, accept payments through our Payment partner, view business analytics, and order optional printed table codes.
EasiDine does not prepare food, employ venue staff, or control the quality, safety, or legality of items sold by Venues. The Venue is solely responsible for what it sells, how it serves Guests, and compliance with food, beverage, licensing, and consumer laws.
4. Who may use the Services
Venue users must be at least 18 years old and have authority to bind the Venue you represent. You must provide accurate registration information and keep it up to date. You are responsible for all activity under your account and for anyone you invite to your Venue account.
Guests may use ordering features at a participating Venue without an EasiDine customer account, subject to these Terms and the Venue's own policies. Guests must comply with applicable laws and venue rules.
Customers may optionally create a Customer account using Google Sign-In. Customer accounts are personal to the individual and work across participating Venues on the platform.
5. Customer accounts (optional)
You may create a Customer account by signing in with Google. Google-only sign-in is used for Customer accounts; we do not offer a separate email-and-password registration for diners.
When signed in, your table visits, orders, and payments may be linked to your Customer account so you can view history in your profile. Guest ordering without signing in remains available.
We may send transactional emails to your Google account email when you are signed in and place orders or complete payments, including order notifications and payment receipts. These emails are not marketing messages.
Reviews remain anonymous toward Venues by default unless you choose to provide a display name. Signing in does not automatically attach your identity to a review shown to a Venue.
We record which version of these Terms you accepted when you created your account. If we update these Terms, we may notify you, but your access to profile features is not blocked solely because you have not re-accepted updated Terms.
6. Venue accounts and team access
The first user who registers a Venue typically has full administrative control and may invite others with different permission levels. You must verify your email address before completing Venue setup. You are responsible for safeguarding passwords and any one-time security codes sent to your email for sensitive changes. You must promptly remove access for anyone who should no longer use your Venue account.
We may refuse registration, suspend accounts, or limit access if we reasonably believe you have breached these Terms or pose a risk to the Services or other users.
7. Guest ordering and sessions
Guests access the Services by scanning a table code at a Venue. No app download is required. A session links a Guest's visit to a specific table and Venue for a limited time (currently up to 24 hours from when the session starts). After expiry, the Guest may need to scan the code again.
The Venue may enable or disable ordering, or suspend its account, which can affect Guest access. Order availability depends on the menu the Venue maintains. The Venue is responsible for accurate prices, descriptions, allergens, and availability.
8. Orders, service requests, and reviews
When a Guest submits an Order, it is sent to the Venue for acceptance, preparation, and fulfilment. Service requests (such as asking for assistance) are operational messages to the Venue and are not a substitute for emergency services.
Guests may leave a review only after they have received a completed order in that session, and typically one review per session. Reviews may include a rating, optional comment, optional name, or anonymous submission where offered. Venues may moderate or hide reviews in line with our policies and applicable law. By submitting a review, the Guest grants us and the Venue permission to display it in connection with the Services.
9. Fees and pricing
EasiDine offers Pay as you go, Monthly, and Yearly pricing plans as described on our website and in your dashboard. Pay as you go applies a platform fee on each guest Order (currently 13% of food and drink subtotal at checkout, including VAT, payment processing, and our service charge). Monthly and Yearly plans charge a recurring subscription fee to the Venue; when an active subscription is in good standing, the per-order platform fee is not added to guest bills, but guests still pay applicable VAT and payment processing fees at checkout.
Every plan includes a number of complimentary physical table QR codes for delivery, as stated on our pricing page. Additional codes may be purchased at the published per-table rate.
The Venue selects its pricing plan in account settings (where permitted by role). Monthly and Yearly plans require a valid payment method on file. Subscription charges, invoices, and retry policies are described in the dashboard and these Terms.
Card and bank payments are processed by our Payment partner. Processing fees may apply and are typically shown as an estimated processing fee at checkout. Final processing costs may differ slightly from estimates; our records and the Payment partner's records prevail for settlement.
Venues may display additional line items on Orders as configured in the Services. All amounts are shown in the currency configured for the Venue (primarily Nigerian Naira).
Venues may order physical printed table codes at a price of ₦3,000 per table (plus applicable VAT), plus delivery. Payment is required before production. Delivery details must be accurate.
We may change fees with reasonable notice by updating our website, dashboard, or these Terms. Continued use after the effective date constitutes acceptance of new fees, except where prohibited by law.
10. Payments and settlement
Guests pay through a secure checkout hosted or powered by our Payment partner. EasiDine does not store full card or bank credentials. To receive payments, a Venue must register a settlement bank account with our Payment partner through the Services.
Venues may choose (where available) between pay when ordering (payment before or as the Order is placed) or pay at checkout of the bill (Orders placed first and paid together later in the session).
On successful Guest payment, funds are split between EasiDine (platform fee and related amounts) and the Venue (remainder of order value). Settlement to the Venue's bank is handled by the Payment partner on its standard schedule. EasiDine does not manually wire Venue balances separately from that process.
If a payment fails, is charged back, or is disputed, we and the Payment partner may withhold or reverse amounts, adjust Venue balances, or suspend checkout until resolved. The Venue is responsible for guest disputes arising from its products, service, or conduct.
11. Refunds and cancellations
Pay when ordering: if the Venue rejects an Order that was already paid, we will arrange a full refund of that Order's payment through the Payment partner where technically possible, subject to the partner's rules and timing.
Guest-initiated cancellation may be allowed only while an Order is still pending, as shown in the Services.
Pay at bill: refunds for individual items or whole bills are handled according to Venue policy and applicable law; we will facilitate refunds through the Payment partner where a refund is initiated in the Services.
EasiDine is not responsible for Venue policies on goodwill refunds, comps, or complaints outside the payment flows we support.
12. Venue responsibilities
Each Venue agrees to comply with all laws, provide accurate menus and pricing, fulfil Orders promptly, handle Guest complaints and refunds for its products and service, maintain appropriate insurance, ensure staff only use the Services for legitimate business purposes, not use EasiDine for illegal or misleading content, and inform Guests of house rules and its own privacy practices.
The Venue is the merchant of record for food and beverage sold to Guests. EasiDine is a technology and payment facilitation provider, not the seller of those items.
13. Acceptable use
You must not misuse the Services, attempt unauthorised access, upload unlawful or harmful content, impersonate others, circumvent fees, scrape or copy the Services except as allowed by law, or use the Services for fraudulent transactions. We may investigate violations and cooperate with law enforcement.
14. Intellectual property
EasiDine owns the Services, software, branding, and documentation. We grant Venue users a limited, non-exclusive, non-transferable licence to use the Services for their internal business operations during an active account. Venues retain ownership of their menus, logos, and content they upload and grant us a licence to host and process that content solely to provide the Services. Guests must not copy or misuse EasiDine branding or software.
15. Confidentiality and data
Each party will treat non-public business information received through the Services as confidential where reasonable. Personal information is handled under our Privacy Policy. Venues must comply with data protection law when handling Guest information they receive through EasiDine.
16. Availability and support
We aim to keep the Services available but do not guarantee uninterrupted access. Maintenance, upgrades, or events beyond our control may cause downtime. Support is provided via support@easydine.app on a reasonable-efforts basis unless you have a separate support agreement.
17. Disclaimers
To the fullest extent permitted by law, the Services are provided "as is" and "as available" without warranties of any kind. We do not warrant that Orders will always be error-free, that Guests will pay, or that settlement times will meet any particular deadline. We are not responsible for the Payment partner's acts or omissions, bank delays, or Venue conduct. Nothing in these Terms excludes liability that cannot be excluded under Nigerian law.
18. Limitation of liability
To the fullest extent permitted by law, neither party shall be liable for indirect, incidental, special, consequential, or punitive damages, or loss of profits, revenue, data, or goodwill. Our total liability to a Venue for all claims arising from or related to these Terms or the Services in any twelve (12) month period shall not exceed the greater of: (a) the platform fees actually paid by or attributable to that Venue in that period; or (b) ₦100,000, except where a higher cap is required by law. These limits do not apply to death or personal injury caused by negligence, fraud, or other liability that cannot be limited by law.
19. Indemnity
The Venue shall indemnify and hold harmless EasiDine, its directors, employees, and agents from claims, losses, and expenses (including reasonable legal fees) arising from the Venue's products, service, or premises; breach of these Terms or law; Guest or staff claims related to the Venue's business; content the Venue uploads; or misuse of the Services by the Venue or its users.
20. Suspension and termination
Either party may stop using the Services; Venues may request account closure via support. We may suspend or terminate access immediately if you breach these Terms, fail to pay amounts due, pose a security risk, or if required by law or the Payment partner. On termination, your right to use the Services ends. We may retain and use information as described in the Privacy Policy after termination.
21. Changes to these Terms
We may update these Terms from time to time. We will post the new version on our website with an updated date. Material changes affecting Venues may be notified by email or in the dashboard. If you continue using the Services after the effective date, you accept the updated Terms. If you do not agree, you must stop using the Services and close your account.
22. Governing law and disputes
These Terms are governed by the laws of the Federal Republic of Nigeria. The courts of Lagos State shall have exclusive jurisdiction, subject to any mandatory rights you have under consumer law. We encourage you to contact us first at support@easydine.app to resolve disputes informally.
23. General
These Terms and the Privacy Policy are the entire agreement regarding the Services unless you have a separate signed contract with us. If any provision is invalid, the rest remains in effect. Failure to enforce a provision is not a waiver. You may not assign these Terms without our consent. We may assign them in connection with a merger, sale, or reorganisation. We may send notices to the email on your account or through the Services.
